INFOSOFT GLOBAL SOFTWARE End User
License Agreement
IMPORTANT: THIS END USER LICENSE AGREEMENT (“EULA”) IS A LEGAL AGREEMENT
BETWEEN YOU (EITHER AN INDIVIDUAL OR, IF PURCHASED OR OTHERWISE ACQUIRED BY
OR FOR AN ENTITY, AN ENTITY) AND INFOSOFT GLOBAL Pvt. Ltd. FOR THE INFOSOFT
GLOBAL PRODUCTS PROVIDED TO YOU UNDER THIS EULA WHICH MAY INCLUDE, WITHOUT
LIMITATION, COMPUTER SOFTWARE, ASSOCIATED MEDIA, PRINTED MATERIALS,
“ONLINE” OR ELECTRONIC DOCUMENTATION, AND SERVICES (COLLECTIVELY,
“SOFTWARE”). READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS,
COPYING OR OTHERWISE USING THE SOFTWARE. IT PROVIDES A LICENSE TO USE THE
SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY
INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU ARE CONFIRMING
YOUR ACCEPTANCE OF THE SOFTWARE AND AGREEING TO BECOME BOUND BY THE TERMS
OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THEN DO
NOT USE AND/OR INSTALL ANY ELEMENTS OF THE SOFTWARE. In addition, by
installing, copying, or otherwise using Software, you agree to be bound by
the modified and/or additional license terms, if any, that specifically add
to or modify this EULA and accompany or are provided with respect to such
Updates. If you do not agree to the additional and/or modified license
terms that accompany or are provided with respect to such Updates, you may
not install, copy, or use such Updates. THIS EULA SHALL APPLY ONLY TO THE
SOFTWARE SUPPLIED BY INFOSOFT GLOBAL HEREWITH REGARDLESS OF WHETHER OTHER
SOFTWARE IS REFERRED TO OR DESCRIBED HEREIN.
The software developer, InfoSoft Global hereby grants to you a
non-transferable and non-exclusive license to possess and use the Software
in accordance with the terms and conditions of this Agreement. You agree
that you are licensing the Software for its end use only and not for resale
or redistribution.
1. Definitions
(a) "INFOSOFT GLOBAL" means INFOSOFT GLOBAL Pvt. Ltd. and its
licensors, if any.
(b) "Software" means only the InfoSoft Global
software program(s) and third party software programs, in each case,
supplied by InfoSoft Global herewith, and corresponding documentation,
associated media, printed materials, and online or electronic documentation.
(c) "Evaluation Version" means a version of the
Software, so identified, to be used only to review, demonstrate and
evaluate the Software for a limited time period. The Evaluation Version may
have limited features, may lack the ability for the end-user to save the
end product, and may cease operating after a predetermined amount of time
due to an internal mechanism within the Evaluation Version.
(d) "Not For Resale Version" means a version, so
identified, of the Software to be used to review and evaluate the Software,
only.
2. License Grants
The licenses granted in this EULA are subject to the terms and conditions
set forth in this EULA.
(a) In general, for each license you have acquired for the Software, one
individual is authorized to use the Software according to the terms of this
EULA. Unless expressly stated otherwise, the Software may not be separated
for use by more than the one individual authorized to use the Software. A
multiple license pack may have multiple licenses to use the Software
associated; nonetheless, each license must be dedicated to use of the
Software by one individual.
Specifically:
(i) If you are an individual, InfoSoft Global grants to you
as an individual a personal, nonexclusive license to use Software in
accordance with the terms of this EULA, provided that you are the only
individual using the Software.
(ii) If you are an entity, InfoSoft Global grants to you the
right to designate one individual within your organization to have the sole
right to use the Software in accordance with the terms of this EULA.
(iii) If you are an entity and have acquired this EULA with
respect to multiple licenses of the Software, InfoSoft Global grants to you
the right to designate one individual per license (i.e., on a one-for-one
basis) within your organization to have the sole right under each such
license to use the Software in accordance with the terms of this EULA;
provided, however, you may change such individual within your organization
upon contacting InfoSoft Global.
(iv) If you are an entity and have acquired this EULA with
respect to Enterprise License of the Software, InfoSoft Global grants to
you the right to designate unlimited individuals located at one physical
premise of your organization to use the Software in accordance with the
terms of this EULA.
(b) You shall not sell, lease, assign, transfer, sublicense, disseminate,
translate, duplicate, reproduce or copy the Software (or permit any of the
foregoing) any information pertaining thereto to any other party without
prior written consent of InfoSoft Global.
(c) In the event the Software is distributed along with other software
products as part of a product or a suite of products, the license of the
distribution has to be obtained from InfoSoft Global.
(d) Your license rights under this EULA are non-exclusive.
(e) You may use the Evaluation Version in any of your projects which are
live/under testing/or under development. You are also free to distribute
Evaluation Version provided no changes have been made to it. However,
evaluation version of the software cannot be used in production
environment.
(f) You may only use the Not for Resale Version of the Software to review
and evaluate the Software.
3. Software Upgrades
Minor
Version Upgrades of Software, for the major version which you've purchased,
will be made available under the terms and conditions of this Agreement at
no charge, as soon as they are made available to other customers of
InfoSoft Global.
Major Upgrades of the Software will be offered at an
additional upgrade cost, to be announced at the time of release of each
major version, under the terms and conditions of this Agreement as soon as
they are made available to other customers of InfoSoft Global. You will
have no obligation to license such Major Upgrades.
You hereby imdemnify and hold harmless InfoSoft Global and its affiliates
against any loss, liability, damages, costs or expenses suffered or
incurred by the Indemnified Parties at any time as a result of any claim,
action or proceeding arising out of or relating to your use, operation or
damages, costs or expenses which may be suffered or incurred at any time by
you as a result of your reliance upon or use of the Software. InfoSoft
Global SHALL NOT BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING GENERAL,
DIRECT, SPECIAL, INCIDENTAL AND CONSEQUENTIAL DAMAGES, RESULTING FROM OR
ARISING OUT OF THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.
